1. Agreement to Terms

By accessing or using Azora Solutions ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is provided by Azora Optical Solutions Inc. ("we", "us", "our").

2. Description of Service

Azora Solutions is a web-based and desktop project management, ERP, QMS, and compliance platform designed for engineering teams. The Service includes task management, document control, sprint planning, reporting, and related tools across its connected solutions.

3. Account Registration

Access to a provisioned tenant requires a user account. During open beta, tenant access is sales-provisioned; users receive credentials or an invitation to set them. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

You retain ownership of all content you create within the Service (tasks, projects, documents, etc.). We do not claim ownership of your data. You grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

You can export your data at any time. Upon account termination, your data will be permanently deleted within 30 days.

6. Service Availability

We aim to provide reliable, continuous access to the Service. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. Customers with a separately executed SLA receive only the availability commitments stated in that agreement.

7. Pricing and Payment

Pricing and current availability are displayed on our pricing page. During open beta, sales-provisioned access is currently offered without a subscription charge. Beta access, future trials, and other promotional access may be modified or discontinued at our discretion. Any paid subscription renews according to its applicable order or checkout terms; we reserve the right to change published prices with 30 days' notice.

8. Termination

Either party may terminate this agreement at any time. You may request account or tenant termination through available platform settings or by contacting us. We may suspend or terminate accounts that violate these terms. When termination takes effect, the tenant is suspended; data is retained for 30 days for possible reactivation, then permanently deleted.

9. Limitation of Liability

To the maximum extent permitted by law, Azora Optical Solutions Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will meet your specific requirements or that it will be error-free. ISO 13485, 21 CFR Part 11, and other compliance features support but do not guarantee successful audit; you remain responsible for your own quality system implementation.

11. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via the platform or email. Continued use of the Service after changes constitutes acceptance of the revised terms.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Azora Optical Solutions Inc. is incorporated.
